Company Maintenance Program

DLG Services, Inc. offers an Alaska company maintenance program to corporations (profit and non-profit), limited liability companies, and partnerships. The company maintenance program is open to all companies. Services under the program include registered agent services, routine State filings, and maintenance of company records. Company maintenance services and State filings provided through DLG Services, Inc. are administrative in nature and do not constitute legal services. Information provided on this website is general in nature and does not constitute legal advice.

Services under the program are administered through an on-line portal to which the representative of each company on the program will have password protected access. The representative will have the ability to access all of the information we maintain surrounding the company, and to make changes or corrections to the information. Our staff will be notified of changes and will assure that State filings are made consistent with the changes.

All services provided under the company maintenance program are provided based upon a fixed fee schedule. The specific program services and their corresponding fixed fees are reflected on the attached menu of services.

The fixed annual fees are billed in advance in February of each year. We do not prorate fees for partial service years. We advance the out-of-pocket costs that are incurred in providing services to companies on the program (for example, biennial report filing fees). The out-of-pocket costs are billed at the actual amount of the disbursement, without any markup. Payment may be made by credit card through a secure payment site accessed from the on-line portal or by check mailed to our office. Payment for our annual maintenance programs is due only once a year. Payment for special services (as described in attached schedule) may be billed as incurred. Any account balance that remains unpaid 60 days after notification of the annual invoice will be assessed a 10% late charge. In the event we resign as registered agent due to non-payment of our fees, a $250 reinstatement fee must be paid (along with the past due fees, current year fee and change of registered agent fee) before we add the company back to the maintenance program.

Companies are free to withdraw from the company maintenance program at any time, subject to the following conditions: (i) the withdrawing company must appoint a new registered agent to replace DLG Services, Inc.; (ii) withdrawal will be effective as of January 1 following notice of withdrawal and appointment of a new registered agent; and (iii) no refund or proration of fees will be made for the year in which we receive the withdrawal notice.
